Janel Giesselman is an associate in the firm’s transactional practice group where she focuses on mergers and acquisitions, securities law and general corporate matters. She regularly counsels public and private corporations on mergers and acquisitions and related corporate transactions. Janel has represented clients in connection with corporate and securities law matters and is experienced in drafting and reviewing SEC filings, including consent solicitation statements, proxy statements, registration statements, prospectuses and Schedules 13D and 13G. Janel also provides corporate governance advice and prepares organizational documents, minutes and board resolutions. In addition, Janel's practice consists of drafting principal and ancillary agreements, including stock and asset purchase agreements, merger agreements, confidentiality agreements and side letters and conducting due diligence inquiries.

After graduating from Columbia University School of Law in 2006, where she was a Harlan Fiske Stone Scholar and a member of the Columbia Business Law Review, Janel was an associate at Skadden, Arps, Slate, Meagher & Flom LLP. Thereafter and before joining ZEK, Janel was an associate in the corporate and securities department at a large New York law firm.
